VMdirect, LLC is a wholly owned subsidiary of DigitalFX International, Inc.
Glenn Mosser (274 Honey Jane Drive Beavercreek, OH 45434) and Danny Denney II (Clayton, Ohio 45315) are two individual affiliates who, as independent contractors, were authorized by VMdirect, LLC. to purchase and retail products and services, recruit other Affiliates, and receive compensation in accordance with the requirements of the Sales Compensation Plans.
Their Affiliate relationship to the Company is governed by their Contract.
A Person becomes an approved Affiliate on the date the Affiliate Agreement is successfully processed on-line during the on-line enrollment procedure. For Mr. Danny, this was Oct. 25, 2007. He used his own credit card (or his father's card) for this transaction and was sponsored by Mr. Glenn Mosser.
At that time, Mr. Danny Denney II could only afford to sign up for the basic Business Starter Welcome Kit, which is non-commissionable, not-for-profit and is the only purchase required to become an Affiliate.
However, in order to be included in that month's Compensation and qualification computations, a person must become an enrolled AND eligible Affiliate by the last working day of the month at 12 midnight US Central Time.
On October 31, 2007 (the last working day of the month) Danny Denney e-mailed me and stated, "log on to OUR site and upgrade from there." He had Glenn Mosser, our Placement Sponsor or Personal Enroller, call me just before midnight to take my credit card information. (Sponsor defined: an Affiliate who enrolls another Affiliate within their Business Organization) My agreement was to upgrade our site by $1,000.00.
Mr. Mosser, Placement Sponsor/Personal Enroller, failed to provide information about the Partnership Form: a supplemental document to the Affiliate Agreement that should list all Persons who are partners, shareholders, principals, officers, directors or members. In the case of a partnership, the Partnership / Corporation Form must contain the names of all general and limited partners, or members.
The VMdirect contract states that An Affiliate's account is automatically renewed on a monthly basis based on the original Affiliate Plan purchased when signing up or upgraded to. All I know is that Mr. Denney's original $79 Affiliate Plan was charged to his own or his father's credit card and placed on his billing profile as such.
Mr. Mosser failed to tell me that my father's credit card number would be left on Danny Denney II's billing profile to automatically renew his Affiliate Plan, that it would be used to enroll retail customers, and that without a Partnership Form, I would have nothing to do with VMdirect by service.
In the emails below, you will see that Mr. Mosser and Mr. Denney claimed to have several retail customers already. Mr. Denney just needed to upgrade in order to enroll them and receive commissions.
As it turned out, Mr. Glenn Mosser supported Mr. Denney in achieving Personal Volume: (the point value of products and/or services purchased by an Affiliate and/or that Affiliate's personally enrolled retailed customers, in one calendar month).
At least 3 and possibly 4 HelloWorld video email accounts were being charged to my father, Patrick Coleman. Why?
An Affiliate is prohibited from submitting any false or inaccurate information to the Company and an Affiliate must inform the Company of any changes affecting the accuracy of the Affiliate Agreement or Partnership/Corporation Form.
The Company reserves the right to immediately terminate an Affiliate, or declare the Affiliate Agreement void from its inception, if the Company determines that false or inaccurate information was provided.
Furthermore, Mr. Glenn Mosser and Mr. Danny Denney II signed an agreement with VMdirect of their obligation to be ethical...

VMdirect has made a commitment to provide products of the finest quality. In turn, the company expects Independent VMdirect Affiliates to reflect that image in their relationships with Customers and other Sales Affiliates.
As an Independent Affiliate you are generally free to operate your business as you see fit, providing it is within the boundaries of these Policies and Procedures, but it is to our mutual, long-term advantage if you act according to the highest standards of integrity and fair practice in your role as a VMdirect Affiliate.
Within the VMdirect Code of Ethics, it is clearly stated:
I will conduct my business in an honest, ethical manner at all times.
I will provide support and encouragement to my customers to ensure that their experience with the VMdirect Affiliate is a successful one. I understand that it is important to provide follow-up service and support to my organization.
I will motivate and actively work with members of my entire business organization to help them build their VMdirect Affiliate business.
I will refrain from exaggerating my personal income or the income potential in general and will stress to Sales Affiliate candidates the level of effort required to succeed in the business.
Additionally, the contract states that any subscription charge-backs received by VMdirect through its merchant service is considered a cancellation and will result in instant termination.
I know that I have asked my credit card company to charge back all fees associated with VMdirect.
The VMdirect Company also reserves the right to recoup any commissions or bonuses paid to any Affiliates on products or
services:

With the flyer I have been distributing from the national ad with the 800 number. How will you know its from my effort f they bring in a customer., or does that matter?
I really would like to get a presentation setup this weekend for the flea market. Im gonna need your help here.
I just will use my desktop if we can figure a way to get internat access at the flea market, otherwise I will need a laptop wih wireless access and airtime.

All you have to do to upgrade is go to your site, log in. Then on the left you will see different choices.,,,,,,,,,,,,,,,,Select account admin, then upgrade service level. It will take about 2 minutes.
To get customers signed up you just go to you site, select the US flag, then choose the customer link on left.

Hi Glenn,
Just wondering if you can help with the billing information for Danny's VMDirect account. Apparently, when I paid the $1,000 to upgrade it, the account remained being billed to my father's credit card. It is listed as being paid by Patrick Coleman, 5185 Crescent Ridge Dr. Clayton, OH 45315. I was not aware of this until a week ago.
I don't want Danny to lose his opportunity for six months by canceling his affiliate status, but I can't allow the monthly fee to be billed to my father's credit card either.
Please help me to get Danny to update his credit card billing information to his own card, or one of HIS father's cards. He said he was meeting with you to figure out a way to keep his business going without falling back as a result of the HelloWorld accounts being canceled. I thought that would include updating his billing information...but I see that it hasn't been done.

I really would like to get a presentation setup this weekend for the flea market. Im gonna need your help here.
I just will use my desktop if we can figure a way to get internat access at the flea market, otherwise I will need a laptop wih wireless access and airtime.
My idea is to market using the sales presentations available and some demonstration of the capabilities at the flea market while offering the cameras for sale, with the 30 day free offer.

Well, at least your now in. As soon as you can get the camera, you can start playing around and sending videos. I know your creative side will take over, with graphics, etc. etc. The sooner of course you can upgrade the better so that you can take part in the commissions and overrides. How about breakfast tomorrow or Saturday? Saturday night we are getting together to watch the Ohio State game at 8:30 if your interested. I can give you cameras then. If you have a customer ready, DON'T sign them up under your $79 position. Let me sign them up, then I can place them. This will allow you to receive overrides once you upgrade. The $79 position doesn't allow you to receive commissions. Before you sign anyone, get with me so we can make sure we are doing it best for them and you. Danny, get at least 3 customers signed up today.......Even if you have to use your own credit card or debit card...............You would be spending just 9.95 X 3 to earn $300-$400 dollars worth of bonus pool money, sign up Helen, your Dad and whoever. For every 3 you sign up you get roughly $3-4 hundred dollars!

All you have to do to upgrade is go to your site, log in. Then on the left you will see different choices.,,,,,,,,,,,,,,,,Select account admin, then upgrade service level. It will take about 2 minutes.
To get customers signed up you just go to you site, select the US flag, then choose the customer link on left.

More interested in setting up at traders world but if this is what we can do this or next weekend...lets roll.
Just got off the phone with Glenn. He says just log on tom our site and upgrade from there. After we do that , we can then set up the customers.

Hi Glenn,
Just wondering if you can help with the billing information for Danny's VMDirect account. Apparently, when I paid the $1,000 to upgrade it, the account remained being billed to my father's credit card. It is listed as being paid by Patrick Coleman, 5185 Crescent Ridge Dr. Clayton, OH 45315. I was not aware of this until a week ago.
I don't want Danny to lose his opportunity for six months by canceling his affiliate status, but I can't allow the monthly fee to be billed to my father's credit card either.
Please help me to get Danny to update his credit card billing information to his own card, or one of HIS father's cards. He said he was meeting with you to figure out a way to keep his business going without falling back as a result of the HelloWorld accounts being canceled. I thought that would include updating his billing information...but I see that it hasn't been done.

problem is, you are not complaining truthfully about ant\by service I have anything to do with you with now, past or future.
Did Mr. Mosser conduct this business in an honest, ethical manner as a Placement Sponsor at all times and follow the Code of Ethics?
I don't think so...
I hope VMdirect declares the upgraded Affiliate Agreement for Danny Denney II, sponsored by Glenn Mosser, void from its inception and determines that false or inaccurate information was provided from the start.
